1. The agreement

These Terms of Service govern the relationship between BOS CREATE A LIMITED, a company at 9/F AMTEL BLDG, 148 DES VOEUX RD C, Hong Kong (HK), and the person or organisation that engages the fabrication floor. They apply to quotations, project work, installations, rentals, kiln batches, display builds and the use of this website.

By accepting a quotation or by placing an order, the client agrees to these terms. Where a signed project contract exists, that contract prevails over these terms for the matters it covers. Where no contract exists, these terms and the accepted quotation together form the agreement.

Please read the whole page before accepting a quotation. The terms are written in plain English so that the person who commissions the work can understand the commercial position without legal training. If any point is unclear, ask before the work begins rather than after.

2. Definitions

In these terms, the Company means BOS CREATE A LIMITED. The Client means the person or organisation that engages the Company. The Work means the set pieces, signage, installations, rentals, kiln batches or displays described in an accepted quotation. The Floor means the workshop at 9/F AMTEL BLDG. A Bay means a taped working area on the Floor. A Drawing means a measured plan approved by the Client. A Variation means a change to the Work after approval.

A working day means a day on which the Company is open for business, excluding Saturdays that are not booked in advance, Sundays and public holidays in Hong Kong. Where a period is stated in working days, it starts on the first working day after the event that triggers it.

The word approval means a written signal from an authorised representative of the Client, sent by email or signed on a drawing. A verbal approval is accepted only when the Company confirms it in writing and the Client does not object within one working day.

3. Quotations and acceptance

A quotation is valid for thirty days unless it states otherwise. It is based on the information available at the time, including the drawing, the material list and the access notes supplied by the Client. If that information changes, the quotation may be revised before the work begins.

Acceptance may be given by signing the quotation, by replying in writing to confirm it, or by paying a deposit. Once accepted, the Company holds a Bay and orders material where required. A quotation that has not been accepted does not reserve floor time.

The Company may decline a project that cannot be delivered safely, lawfully or to a reasonable standard within the requested window. In that situation the reason will be explained and, where possible, an alternative date or scope will be offered.

4. Scope of work

The Work is limited to what appears in the accepted quotation and approved Drawing. Items that are not listed, such as lighting hire, venue fees, structural fixing into a building frame or removal of existing fixtures, are not included unless the quotation says so.

Where the Client supplies a design from a third party, the Company will build to that design but does not warrant that the design is fit for the site. The Company will flag an obvious risk when it is seen, and it is the Client who decides whether to proceed with the design as drawn.

The Company works in good faith within the limits of normal fabrication practice. A tolerance of a few millimetres across a large panel is normal and is not treated as a defect. Where a tighter tolerance is required, it must be stated in the quotation because it affects the cutting method and the cost.

5. Drawings and approvals

The Company prepares a Drawing once the brief is clear. The Drawing shows dimensions, materials, finish references and, where relevant, the fixing method. The Client is asked to check the Drawing against the site and against the intended use. Approval of the Drawing confirms those dimensions.

If an error is found after approval, the Company will correct it and the cost of the correction will be handled as a Variation. If the error was made by the Company, the correction is made at no additional charge. If the error came from information supplied by the Client, the correction is charged.

Approved Drawings are retained by the Company so that a replacement part can be produced later. The Client may ask for a copy, and the Company will provide one in a reasonable format for the Client to hold for reference.

6. Pricing and payment

Prices are stated in the currency shown on the quotation and exclude taxes, duties and delivery unless the quotation says otherwise. A deposit is usually required to hold a Bay and to order material. The balance falls due before collection or installation, or on the terms stated in the quotation.

Invoices are payable within the period shown on the invoice. Where payment is late, the Company may pause work and may charge interest at a reasonable commercial rate on the outstanding amount. A paused job that resumes may move to a later slot in the floor calendar.

Where a project runs in stages, each stage is invoiced as it is completed. The Client may not withhold payment for one stage because of a question about another stage, except where the question concerns a defect in the earlier stage that has not been resolved.

7. Scheduling and bay time

The Floor divides its space into Bays. Each accepted project is allocated Bay time for cutting, assembly and finishing. Bay time is limited, and two projects do not share the same area at once. The Company publishes an approximate lead time with each quotation but does not guarantee a date until the Bay is booked.

If the Client delays an approval, a material choice or a site access arrangement, the Bay may be released to another project and a new slot found later. The Company will always tell the Client when a delay affects the agreed date, and it will not silently move a booking.

Kiln time is scheduled separately because a firing cycle occupies the kiln for many hours. Where a project depends on a firing, the kiln slot is booked at the same time as the Bay slot so that the two cannot drift apart.

8. Materials and substitutions

Materials are described in the quotation by type and, where relevant, by grade. Natural variation in timber, veneer, stone and fired ceramic is part of the character of those materials and is not treated as a defect. Finish samples are the reference where a match matters.

If a specified material becomes unavailable, the Company will propose a substitute of equal or better performance and seek approval before proceeding. The Company will not substitute a material that changes the appearance of the Work without the approval of the Client.

Material quantities are estimated carefully from the Drawing. Where a site survey shows that the real area differs from the estimated area, the difference is handled as a Variation and the Client is told before additional material is ordered.

9. Installation days

An installation day is a fixed window agreed in writing. The Client is responsible for securing access, building management approval, power supply and any permit needed for the venue. The Company supplies the crew, the tools and a zone plan for the Work it has built.

If the venue is not ready when the crew arrives, the Company may charge for the lost time. If the delay is caused by the Company, the lost time is borne by the Company and a new window is arranged as soon as a slot is free.

A snag list is closed before handover. Items that need a subsequent visit are recorded and scheduled. The Client signs the handover note to confirm the Work is in place and the snag list has been reviewed.

10. Studio fabrication rentals

A studio rental allows the Client to use a defined Bay, the hand tool wall and, where listed, the fabric bolt racks. The rental period, the permitted equipment and the consumables included are stated in the booking confirmation.

The Client is responsible for the safe conduct of its own team and guests during the rental and for returning tools to the wall in working order. Damage caused by misuse is charged at repair cost. The kiln and larger power tools are not part of a standard rental and are used only under supervision or by a member of the Floor team.

A rental may be ended early by the Client, but the booking fee is not refunded for unused time unless the Company cancels the slot. If the Company must cancel, a replacement slot is offered or the fee is returned.

11. Kiln and finish work

Firing is a process with inherent variation. Shrinkage, colour shift and minor surface change are normal outcomes and are controlled, not eliminated. The Company fires to a published curve and checks each batch against the approved sample tile before release.

Where a fired part falls outside the agreed tolerance, the Company will re make it once at no extra charge. If the Client changes the brief after firing, the change is a Variation. A part that fails because of a fault in clay or glaze supplied by the Client is not the responsibility of the Company.

Finished parts are packed with protection suited to their size. The Company will advise on storage and on the handling of fragile edges, but it cannot control conditions at a site once the parts have left the Floor.

12. Billboard row displays

Display panels are built and tested on the Company billboard row before delivery. The Client is asked to approve the test hang, including alignment, colour and spacing, because those qualities are easier to judge on the row than on a drawing.

The Company supplies a mounting drawing with every display. The Client is responsible for confirming that the wall or frame at the venue can carry the load and for arranging any structural fixing that is outside the scope of the quotation.

Lighting channels are tested with the lamp type specified in the quotation. If the venue uses a different lamp, the colour balance may change and the Company is not responsible for that change.

13. Delivery and collection

Delivery dates are estimates until the crate is booked with the carrier. The Company will confirm the booking and pass on any tracking reference it receives. Risk in the Work passes to the Client on delivery or, where the Client collects, on collection from the Floor.

The Client should inspect the Work on delivery and note any visible damage on the carrier document. Damage that is not noted at delivery may be harder to claim. The Company will help with a claim where the delivery was arranged by the Company.

Where the Work is collected by the Client, the Client should bring a vehicle and crew suited to the size of the crate and should allow time for a loading check at the goods lift.

14. Changes and variations

A Variation is any change to the approved scope, Drawing, material or date. Every Variation is priced before it is carried out, unless it is an emergency that affects safety, in which case the Company acts first and explains after.

A Variation may affect the schedule. If it does, the Company will state the new date before the change is confirmed. The Client may decline a Variation, in which case the Work continues to the approved scope.

Repeated small changes can add up to a significant cost. The Company will group small requests where possible and will tell the Client when a series of small changes has reached the point where a formal Variation is more sensible.

15. Cancellation and postponement

If the Client cancels after the Bay is booked, the Company may charge for the Bay time reserved and for material that has already been cut or ordered. The charge reflects the actual loss and is explained in writing.

If the Client postpones, the Company will try to move the booking to a later slot. A postponement may incur a charge where material was ordered for the original date and cannot be reused.

If the Company cancels for a reason within its control, it will return any deposit for Work not yet carried out and will help the Client find another route to the date. If the cancellation is caused by force majeure, the section on force majeure applies.

16. Warranty and defects

The Company warrants that the Work will be built to the approved Drawing with reasonable skill and care and that it will be free from material defect at handover. The warranty period is twelve months from handover unless the quotation states otherwise.

The warranty does not cover normal wear, accidental damage, misuse, alteration by another party, exposure to conditions outside the specification, or the natural movement of timber and other organic materials. A defect that is reported promptly will be inspected and, where covered, repaired or replaced.

To report a defect, write to contact@boscreate.autos with the project reference and a clear photograph. The Company will reply with a plan, which may include a visit to the site.

17. Limitation of liability

Nothing in these terms excludes a liability that cannot lawfully be excluded, including liability for death or personal injury caused by negligence. Subject to that, the Company is not liable for indirect or consequential loss, loss of profit, loss of reputation or loss of opportunity.

The total liability of the Company under an agreement is limited to the value of the Work under that agreement, except where the law requires a higher limit. Where the Client supplies a design or a material that proves unfit, the Company is not liable for the consequence of that choice.

The Client is responsible for the safety of the venue and for any structure to which the Work is fixed. The Company will provide fixing guidance, but it cannot certify a building element that it has not inspected.

18. Intellectual property

The Client retains the rights it holds in its own brand, artwork and design. The Company retains the rights it holds in its methods, tooling, jigs, technical notes and stock drawings. The Company grants the Client a licence to use the delivered Work for the purpose for which it was commissioned.

Where the Company creates a drawing for a Client, the Client may use that drawing for the project and for its own maintenance of the Work. The Client may not resell the drawing or use it to instruct a competing fabricator without written permission.

The Company asks for permission before showing a completed project in its portfolio. The Client may withdraw that permission at any time, and the Company will remove the images from its working portfolio.

19. Confidentiality

Each party keeps the confidential information of the other private. Confidential information includes unreleased product designs, launch dates, venue plans and commercial terms. It does not include information that is already public or that a party is required to disclose by law.

The Company shares confidential information only with the team and suppliers who need it for the Work. Suppliers are asked to keep it private and to use it only for the task described. On request, the Company will confirm which suppliers are involved in a project.

This duty continues after the project ends. It ends when the information becomes public through no fault of the receiving party.

20. Insurance and risk

The Company holds insurance for its workshop operations and for public liability at the level stated in the project documents. A certificate can be provided on request for a venue or a building manager who needs evidence of cover.

Risk in the Work passes as described in the delivery section. The Client should insure the Work from that point if the Work is valuable or difficult to replace. A replacement can be built from the retained drawing, but it takes time and the original date cannot be guaranteed.

21. Force majeure

A party is not liable for a delay caused by an event outside its reasonable control, such as a severe storm, a public health restriction, a transport stoppage or an order from a public authority. The affected party must tell the other promptly and must try to reduce the effect.

If the event continues for a long period, either party may end the agreement for the part of the Work that has not been carried out. The Client pays for the Work completed and for material already committed, and the Company returns any remaining deposit.

22. Use of this website

This website is provided for information and for contacting the Floor. You may read the pages, print them for your own reference and share the address with a colleague. You may not copy the text into another site, present the content as your own or use the site to send unlawful material.

The contact form prepares a message in your own mail application. Please do not use it to send material that is confidential beyond what is needed for an enquiry. A drawing sent for a quotation is treated as confidential by the Company, as described above.

The site is maintained from time to time and may be unavailable briefly during an update. The Company tries to keep pages accurate but does not warrant that every detail, such as a lead time, is current at the moment you read it. For a binding lead time, ask for a quotation.

23. Governing law and disputes

These terms are governed by the laws of Hong Kong. The parties will try in good faith to resolve a dispute by discussion before starting formal proceedings. A written notice of a dispute should set out the facts, the amount claimed or the remedy sought, and the result the sender expects.

If discussion does not resolve the matter, the parties may refer it to a mediator or to the courts of Hong Kong. Each party bears its own costs unless a court or a tribunal decides otherwise.

A failure to enforce a term on one occasion does not waive the right to enforce it later. If a term is found to be invalid, the remaining terms continue in force.

24. Contact

Office hours are Monday to Friday, 9:00 to 18:00. Please quote your project reference in any message so that the team can find the file quickly. A copy of these terms travels with every accepted quotation.
